Business Organizations for Paralegals,Tenth Edition by Deborah A. Bouchoux provides a comprehensive yet accessible overview of business entities in a clear, student-friendly format. Using a logical “life cycle” framework, the text examines each form of business organization—from its formation, to its advantages, disadvantages, operation, dissolution, and tax implications. The discussion begins with an introduction to all major business entities, progressing from the simplest, the sole proprietorship, through partnerships to the most complex, the corporation. It also explores modern business forms such as limited liability partnerships (LLPs) and limited liability companies (LLCs), concluding with coverage of specialized entities, including nonprofit and professional corporations. Balancing thorough substantive law coverage with practical, real-world applications, Bouchoux equips paralegal students with the knowledge and tools needed for success. Rich pedagogical features such as checklists, web resources, key terms, practice tips, and exercises enhance comprehension and reinforce learning throughout.

New to the Tenth Edition:

  • Updated charts, case illustrations, discussion questions, and Net Worth questions
  • New feature in every chapter: “AI and the Legal Landscape,” showing practical applications for using artificial intelligence in paralegal tasks (e.g., creating partnership names/logos, drafting corporate meeting minutes, reviewing merger documents)
  • Overview of the Corporate Transparency Act and its application solely to foreign companies
  • Analysis of Mallory v. Norfolk Southern Railway Co. (2023) on corporate registration and jurisdiction
